BOARD OF DIRECTORS
QUALIFICATIONS
A member of the Board of Directors shall be a member of The Lisle Fellowship in good standing.
ELECTION
Board members are elected at the first board meeting following the Annual Meeting of the Fellowship. Board members hold office for three years .
VACANCIES
- The Board has the power to fill vacancies in its membership and vacancies in any office, occurring through resignation, disability or absence in office.
DUTIES
- Five members of the Board constitute a quorum at any meeting.
- Members of the Board have the power to review all expenditures of the Fellowship. They are provided with financial reports by the Treasurer.
- The Board shall be diligent in requiring the proper observance of the bylaws.
- It may engage a full-time Executive Director, employees, agents, accountants and attorneys to perform such duties as may appear necessary.
Executive Committee Job Description
The members are ALWAYS the President, Vice President, Secretary, Treasurer and Exec Director. Then, the President can request anyone else to join – Chair of standing committees or other mentors. The size needs to be kept manageable within the restraints of conference calling technology.
The job of the Executive Committee is to meet approximately monthly by conference call to deal with any board issues that need quick resolution including planning for the agenda for the next meeting and keeping everyone informed. They have undefined power to make some decisions and recommend others to the full board for action. One of the participants in the call writes up minutes and email them to the full board ASAP. We have, recently, also invited all board members to "sit in" on the conference calls but we have not tried to tailor the timing of the calls around anyone other than Exec Comm members.
The exec committee should be email copied almost everything between board members and committees, Mark (as Program Director and Executive Director) and Barb (as Operations Manager) so that they can stay abreast of current calamities and successes, and small decisions that have been allocated downward.
